  • Distributing unsolicited promotional or advertising materials, including spam.
  • Attempting to gain unauthorized access to any portion of the services or any other systems or networks connected to the services.
  • Using any automated means, including bots, spiders, or scrapers, to access the services for any purpose without our express written permission.

Any violation of these prohibited activities may result in immediate termination of your access to the services and may subject you to legal liability. acctly.digital reserves the right to take any action it deems necessary to enforce this policy.

5. Content Ownership

All content, features, and functionality on acctly.digital, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, and software, are the exclusive property of acctly.digital or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the services for your personal or internal business purposes. This license does not include any resale or commercial use of the services or any content therein. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site without our prior written consent.

Any unauthorized use of the content may violate copyright, trademark, and other laws, and could result in criminal or civil penalties. acctly.digital reserves the right to enforce its intellectual property rights to the fullest extent of the law.

6. User-Generated Content

Users may have the opportunity to submit, post, or otherwise contribute content to acctly.digital ("User-Generated Content"). By submitting User-Generated Content, you grant acctly.digital a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

You represent and warrant that you own or control all rights to the User-Generated Content you submit and that the content does not violate any third-party rights, including intellectual property rights and rights of privacy or publicity. acctly.digital is not responsible for any User-Generated Content and does not endorse any opinions expressed therein.

acctly.digital reserves the right to remove or edit any User-Generated Content at its sole discretion, without notice, for any reason, including but not limited to violations of these Terms or applicable law.

7. Payment Terms

Access to certain features of acctly.digital may require payment of fees. By using the paid services, you agree to pay all applicable fees and charges associated with your use of the services. All fees are non-refundable unless otherwise stated in writing by acctly.digital.

Payment terms, including billing cycles and payment methods, will be outlined during the registration process or in your account settings. You are responsible for providing accurate billing information and for ensuring that your payment method is valid and up to date.

In the event of a failure to pay any fees when due, acctly.digital reserves the right to suspend or terminate your access to the services until payment is received. Any late payments may incur additional charges as specified in the payment terms.

8. Service Modifications

acctly.digital reserves the right to modify or discontinue, temporarily or permanently, the services or any part thereof with or without notice. You agree that acctly.digital will not be liable to you or to any third party for any modification, suspension, or discontinuance of the services.

We may also impose limits on certain features or restrict your access to parts or all of the services without notice or liability. Any new features or enhancements to the services will also be subject to these Terms unless otherwise stated.

It is your responsibility to review these Terms periodically for changes. Your continued use of the services after any modifications will constitute your acceptance of the revised Terms.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall acctly.digital, its affiliates, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of, or inability to access or use, the services.

In no event shall acctly.digital’s total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the services during the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. In such jurisdictions, acctly.digital’s liability shall be limited to the maximum extent permitted by law.

10. Termination

These Terms are effective until terminated by either party. You may terminate your account at any time by following the instructions provided on the Site. acctly.digital may terminate or suspend your access to the services immediately, without prior notice or liability, if you breach these Terms or if we believe that your conduct poses a risk to the services or other users.

Upon termination, your right to use the services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Termination of your account does not relieve you of any obligations to pay any outstanding fees or charges incurred prior to termination.
